The following terms and conditions (Terms) apply to all agreements entered into with Unicorndigital Pty Ltd, and all Services provided by Unicorndigital ABN 45890063441. The Services include, but are not limited to; the website, social media pages, products and services sold, website optimisation services, website production, and online advertising services, as outlined in our proposal (Proposal).
By using the Services, you agree to be legally bound by these Terms. In these Terms “we”, “us”, “our” and “Unicorndigital” refers to Unicorndigital Pty Ltd ABN 45890063441.

Terms and Conditions 1.1 You agree and continue to agree to use the Services in a manner consistent with all applicable laws and regulations, and in accordance with these Terms.
1.2 These Terms are incorporated into and are part of, any Agreement with Unicorndigital signed by you or in proposal form, confirmed by email.
Minimum Term, Renewal, and Termination 2.1 Services are renewed automatically on a month by month basis. Should you wish to terminate the Services written notice is required at least 30 days prior to termination. A pro-rated invoice for the balance of the 30 days will be issued.
2.2 You must comply with these Terms at all times in your use of the Services. You will not engage in any conduct that restricts or inhibits any other person from using or enjoying the Services, at the discretion of Unicorndigital. You agree to use the Services only for lawful purposes. You are prohibited from posting on or transmitting through the Services any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful, racially, ethnically or otherwise objectionable material of any kind, including, but not limited to; any material which encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any applicable local, state, national or international law.
2.3 Subject always to Law, may elect to electronically monitor the Services for adherence to these Terms, and may disclose to the extent permitted by law any content, records or electronic communication of any kind (i) to satisfy any law, regulation or authorised governmental request, (ii) if such disclosure is necessary to operate the Services, or (iii) to protect the rights or property of Unicorndigital or its partners.
2.4 Unicorndigital reserves the right to prohibit conduct, communication, or content which it deems in its discretion to be harmful to individual users or other third-party rights, or to violate any applicable Law (Material Breach).
2.5 If you do not comply with these Terms and the breach cannot be remedied or is a Material Breach, Unicorndigital reserves the right to terminate the Agreement and your use of the Services at any time. In the case of any other breach of these Terms, Unicorndigital reserves the right to terminate the Agreement if you do not remedy the breach within 30 days of receiving written notice from us specifying the breach and requiring you to remedy the breach. If we terminate the Agreement with you under this clause, you are not obligated to pay the Cancellation Fee.
Services 3A. Digital Advertising Management (All Media Platforms such as Google Ad Accounts & Facebook Ad Accounts)
3A.1 Unicorndigital will set up online advertising campaigns and deliver paid traffic to your website. If paid traffic cannot be delivered to the website in question due to matters outside Unicorndigital’s control including the editorial policies of the search engines or advertising platforms regarding the acceptance of advertiser web properties, then we will notify you of the situation in writing. Unicorndigital is not to be held liable in this situation.
3A.2 Costs associated with media and clicks generated from running this service will be incurred directly by the customer.
3A.3 You must comply with the Google ads guidelines, which can be found at https://support.google.com/adspolicy/answer/6008942.
3B. Upload of Content to Customer Websites
3B.1 Unicorndigital will upload optimized content and tags to your website, where a web page is written in a language that our technicians are trained in. If a web page has been designed using languages that we are not skilled in, uploading of content will be the responsibility of the customer and/or their webmaster.
3B.2 Customers who provide Unicorndigital access to make changes to their website do so with the understanding that Unicorndigital is not liable for any errors which may occur in these updates. Unicorndigital must make all website changes with full care and the skill expected of a professional provider of the Services. The Client agrees to have a regular backup system in place, and by signing the Agreement with us you warrant that you have a regular and secure backup system in place. Where the Services include website hosting by Unicorndigital, Unicorndigital must provide the backup and security services as specified in the Proposal.

3C. Website Design
3C.1 Website design services are provided as per your Proposal with Unicorndigital. An approximate timing schedule is provided at the time of the Proposal. Failure to provide assets, content, feedback or other items within the specified time will delay the setup of the website.
3C.2 After the launch of a website, the client is responsible for backing up their website on a regular basis. If requested to do so by the client, Unicorndigital will provide assistance to the client regarding the setup of its website backup. Unicorndigital will take regular backups for websites hosted with us, however, we advise clients to take their own backups in addition. In the event that your website goes down or encounters another error, and it is hosted on a website server other than the Unicorndigital server, we are not responsible for bringing your website back online.
3C.3 Where plugins have been used within a website, or on a platform that requires version control, it is the responsibility of the client to manage and maintain these, once the website is live. Unicorndigital will ensure all plugins and CMS versioning are up to date when the site is launched; however, ongoing, this is required by the client to manage. Unicorndigital offers services to help keep these up to date, should this not be an option to be maintained by the client. 3D. Website Hosting and Maintenance
3D.1 Unicorndigital offers hosting services for websites that we have designed and developed. Our hosting services include regular backups, security updates, and technical support. We ensure that your website is running smoothly and securely.
3D.2 Hosting fees are billed annually and are due at the beginning of each hosting period. Failure to pay hosting fees may result in the suspension of hosting services and the removal of your website from our servers.
3D.3 Unicorndigital is not responsible for any loss of data or damage to your website that may occur due to circumstances beyond our control, including but not limited to, server failures, hacking attacks, or natural disasters. It is recommended that you regularly backup your website and keep a copy of your data in a secure location.
3D.4 If you wish to transfer your website to another hosting provider, we will provide you with a backup of your website files. However, we cannot guarantee the compatibility of our backup files with other hosting platforms.
3E. Search Engine Optimization (SEO)
3E.1 Unicorndigital offers SEO services to improve the visibility of your website on search engines. Our SEO services include keyword research, on-page optimization, and link building.
3E.2 While we strive to improve your website’s search engine rankings, we cannot guarantee specific results as search engine algorithms are constantly changing.
3E.3 It is important to note that SEO is an ongoing process and results may take time to become apparent. We recommend a minimum commitment of six months to see significant improvement in your website’s search engine rankings.
3F. Social Media Management
3F.1 Unicorndigital offers social media management services to help you engage with your audience and grow your online presence. Our services include content creation, posting, and engagement with your followers.
3F.2 We will work with you to develop a social media strategy that aligns with your business goals and objectives. Our goal is to help you build a loyal following and drive traffic to your website.
3F.3 Social media management requires regular monitoring and adjustment to be effective. We will provide you with regular reports on the performance of your social media accounts and make recommendations for improvement.
